Terms of Service

Welcome to Midium. These Terms of Service ("Terms") form a binding agreement between you and the company that operates Midium (the "Operator", "we", "us", "our") and govern your access to and use of the Midium mobile application, the Midium website at midium.live, and any associated services (together, the "Service"). By creating an account, downloading the application, or otherwise using the Service, you agree to these Terms in full. If you do not agree, do not use the Service.

1. Eligibility

You may use the Service only if all of the following are true: you are at least 18 years of age (or 21 where the local minimum is higher); you have full legal capacity to enter into a binding agreement; you are not located in, ordinarily resident in, or accessing the Service from a country where the Service is restricted (see Section 13); you are not on a sanctions list maintained by the United Nations, the European Union, the United States, the United Kingdom, or any jurisdiction in which the Operator does business; and you are not creating or controlling more than one account on the Service.

You represent and warrant that the foregoing remains true throughout your use of the Service. We may, at any time, request documentary evidence of your identity, age, residence, and the source of any associated funds.

2. Account registration

When you create an account, you must provide accurate, current, and complete information. You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must notify us immediately at security@midium.live if you become aware of any unauthorised access. We are not liable for any loss arising from your failure to maintain the confidentiality of your account credentials.

3. The Service

Midium is a daily prediction game. Each session presents a fixed set of cards covering matches, events, or markets in categories such as football, crypto, Formula 1, NBA, rugby, politics, culture, and news. Correct predictions earn experience points ("XP"). XP is an in-app score. It is not a currency, security, financial instrument, or item of monetary value, and cannot be sold, transferred, withdrawn, or exchanged for cash.

Some categories are free. Others require an in-app subscription. Subscriptions are billed through the Apple App Store or Google Play Store and managed in your device's account settings. We do not collect or process subscription payments directly.

XP may, at our sole discretion, be exchangeable for promotional credit or other benefits on the Midas Exchange platform. Such exchanges are governed by the terms of Midas Exchange and by Section 9 of these Terms. We may modify, suspend, or withdraw the exchange feature at any time without notice and without liability.

4. Modification of the Service

We continually develop the Service. We may add, change, or remove features, categories, rooms, scoring rules, leaderboards, campaigns, and rewards at any time. Where a change materially reduces the functionality available to existing subscribers we will use reasonable efforts to give advance notice through the Service, but we do not guarantee that any specific feature will remain available.

5. Acceptable use

You agree not to, and not to permit any other person to: create, control, or use more than one account; access or use the Service through automation, bots, scripts, scrapers, or any non-human means; reverse engineer, decompile, or attempt to derive the source code of any part of the Service except to the extent expressly permitted by mandatory law; collect, harvest, or store data about other users without their consent; interfere with the operation of the Service, including by denial-of-service attempts, exploit submission, or unauthorised testing; circumvent or attempt to circumvent any security mechanism, geo-restriction, age verification, or rate limit; use the Service to facilitate, conceal, or carry out any unlawful activity, including money laundering, sanctions evasion, terrorism financing, fraud, or tax evasion; manipulate or attempt to manipulate any leaderboard, score, campaign outcome, reward distribution, or referral programme, including by collusion, match-fixing, insider information, wash trading on the Midas Exchange with bonuses, or any coordinated activity intended to distort outcomes; impersonate another person or misrepresent your age, identity, or country of residence; or upload, post, transmit, or otherwise make available any content that is unlawful, harmful, defamatory, obscene, or that infringes the rights of others.

6. Suspension and termination

We may suspend, restrict, or terminate your access to the Service, in whole or in part, with or without notice, where we reasonably believe that you have breached these Terms, that your continued access poses a risk to the Service or to other users, that your account is being used unlawfully, or that we are required to do so by law or by an order of a competent authority. On termination you forfeit any unspent XP and any unactivated promotional benefits. Funds held by Midas Exchange are governed by the Midas Exchange terms.

You may terminate your account at any time from within the application. Termination does not relieve you of any obligations accrued before termination, including payment for any then-current subscription period.

7. Subscriptions

Paid rooms are offered on a recurring monthly basis. By subscribing you authorise the relevant app store to charge the applicable fee on a recurring basis until you cancel. Fees are stated in the application before purchase. Subscriptions renew automatically at the end of each billing period unless cancelled at least 24 hours before renewal. To cancel, use the subscription management interface in the App Store or Google Play. Refunds are governed by the policy of the relevant app store and by mandatory consumer-protection law in your jurisdiction; we do not issue refunds directly.

8. Campaigns

We may run promotional campaigns from time to time, including the World Cup Campaign and similar tournaments. Each campaign has its own published prize rules, eligibility criteria, schedule, and methodology. By participating you accept the published campaign rules in addition to these Terms. We may, at our sole discretion, suspend, modify, or cancel a campaign where we identify abuse, technical failure, force majeure, or any other reason that prevents the fair conduct of the campaign. Our determination of campaign outcomes is final and binding, save for manifest error.

9. Rewards and bonuses on Midas Exchange

Where XP, missions, or campaigns result in promotional credit on Midas Exchange, that credit is non-withdrawable. Credit is intended for use as margin or fee-discount within Midas Exchange and is subject to: a minimum activation deposit (currently equivalent to USD 10); a wagering or turnover requirement before any associated trading profit becomes withdrawable; a time-limited validity window (currently 14 days from activation); and the full terms and conditions of Midas Exchange in force at the time the credit is issued or used.

Promotional credit has no monetary value to you outside Midas Exchange and cannot be assigned or transferred. We may, at our sole discretion, change the activation, wagering, expiry, and other parameters of any promotional credit programme prospectively, on notice through the Service. Profits earned on the underlying instruments are subject to the rules of Midas Exchange, including its withdrawal, anti-money-laundering, sanctions, and tax-reporting policies.

10. Intellectual property

All content of the Service, including software, designs, graphics, text, sounds, and the Midium name and logo, is owned by the Operator or its licensors and is protected by copyright, trade-mark, and other intellectual-property laws. We grant you a limited, personal, non-transferable, non-exclusive, revocable licence to use the Service strictly for non-commercial personal use in accordance with these Terms. All rights not expressly granted are reserved.

You retain ownership of any content you submit through the Service (for example, a username, an avatar, or a comment). You grant us a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, adapt, publish, and distribute such content for the purpose of operating, promoting, and improving the Service. You warrant that you have the right to grant this licence and that your content does not infringe any third-party right.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. The outcome of any prediction is uncertain. Past performance is not indicative of future results. Nothing in the Service constitutes investment, legal, tax, or other professional advice. We make no representation that XP, promotional credit, or any benefit on Midas Exchange will retain any particular value or be available at any particular time.

12. Limitation of liability

To the fullest extent permitted by law, the aggregate liability of the Operator and its affiliates, officers, employees, and agents to you for any and all claims arising from or related to the Service is limited to the greater of (i) the total fees you have paid to us through the Service in the twelve months preceding the event giving rise to the claim, and (ii) USD 100. We will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, even if advised of the possibility of such damages. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (including liability for death or personal injury caused by negligence and for fraud).

13. Geographic availability

The Service is not offered in jurisdictions where its operation would require a licence we do not hold or where the offering is otherwise restricted. We block access from sanctioned countries and from jurisdictions that require local licensure for prize-pool prediction games until any required licence is in place. The current exclusion list is enforced at network level. You may not use a VPN, proxy, or other circumvention tool to access the Service from an excluded jurisdiction. Your use of any such tool is a material breach of these Terms.

14. Indemnification

You will indemnify, defend, and hold harmless the Operator and its affiliates, officers, employees, and agents from and against all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to (i) your breach of these Terms, (ii) your misuse of the Service, (iii) your violation of any law or third-party right, or (iv) any content you submit through the Service.

15. Governing law and dispute resolution

These Terms are governed by the laws of the jurisdiction in which the Operator is registered, without regard to conflict-of-law rules, and subject to any mandatory consumer-protection rules of your country of residence that apply to you regardless of choice of law. Any dispute, controversy, or claim arising out of or related to these Terms or the Service that is not resolved by good-faith negotiation within 30 days will be finally resolved by binding arbitration administered by a recognised international arbitration institution at the Operator's registered seat, in the English language, before a single arbitrator. Where arbitration is not permitted by law for the type of claim or for you as a consumer, the courts of the Operator's registered seat have exclusive jurisdiction. To the extent permitted by law, you waive any right to participate in a class action or representative proceeding.

16. Force majeure

We are not liable for any failure or delay in performance to the extent caused by circumstances beyond our reasonable control, including acts of God, war, terrorism, civil disorder, government action, sanctions, labour disputes, network or power failures, or pandemic.

17. Entire agreement; severability; assignment; no waiver

These Terms, together with the Privacy Policy, the Cookie Policy, the Acceptable Use Policy, the Risk Disclaimer, and any campaign-specific rules, constitute the entire agreement between you and us in relation to the Service and supersede any prior agreement or understanding. If any provision is held unenforceable, the remaining provisions remain in full force. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, or similar transaction. You may not assign your rights or obligations without our prior written consent. No failure or delay by us to enforce any right under these Terms is a waiver of that right.

18. Changes to these Terms

We may amend these Terms from time to time. Material changes will be notified through the Service at least 30 days before they take effect, except where a shorter period is required by law or by an emergency change. The current version is always available at /legal/terms. Each prior version is preserved at /legal/terms/v[version] for reference. Continued use of the Service after the effective date of a change constitutes acceptance of the new Terms.
